Nebras Power (a Qatari public shareholding company) announced the successful conclusion of negotiations between Ras Laffan Operating Company, one of its wholly owned subsidiaries, to acquire the full stake of ENGIE SA in the share capital of both Qatar Power Company and Ras Girtas Power Company.

الدوحة في 26 فبراير /قنا/ أعلنت نبراس للطاقة (شركة مساهمة قطرية عامة) عن نجاح المفاوضات بين شركة رأس لفان للتشغيل، إحدى الشركات التابعة والمملوكة لها بالكامل، للاستحواذ على كامل حصة شركة "إنجي إس إيه" في رأس مال كل من شركة "قطر باور" وشركة "رأس قرطاس للطاقة".


وأوضحت "نبراس للطاقة"، في بيان لها اليوم، أن نتائج المفاوضات أسفرت عن موافقة الأطراف على توقيع اتفاقية بيع وشراء الأسهم بين كل من شركة "رأس لفان للتشغيل" وشركة "إنترناشونال باور (رأس لفان ب) المحدودة"، التابعة والمملوكة بالكامل لشركة "إنجي إس إيه"، ستتولى من خلالها شركة "رأس لفان للتشغيل" شراء حصة "إنترناشونال باور (رأس لفان ب) المحدودة"، والبالغة نسبتها 40 في المئة من رأس مال شركة "قطر باور".


كما تمت الموافقة على توقيع اتفاقية بيع وشراء الأسهم بين كل من شركة "رأس لفان للتشغيل" وشركة "كهرابل" التابعة والمملوكة بالكامل لشركة "إنجي إس إيه"، لبيع 50 في المئة من إجمالي رأس المال المصدر لشركة "آر إل سي باور القابضة المحدودة" والذي يمثل 40 في المئة من رأس مال شركة "رأس قرطاس للطاقة".


وسيرفع هذا الاتفاق حصة "نبراس للطاقة" في نسب الملكية من 55 في المئة إلى 95 في المئة من رأس مال شركة "قطر باور"، ومن 45 في المئة إلى 65 في المئة من رأس مال شركة "رأس قرطاس للطاقة".


وأشار البيان إلى أن إتمام الصفقة يخضع لاستيفاء كافة الشروط والإجراءات المنصوص عليها في اتفاقيات البيع والشراء والقوانين ذات الصلة، بما في ذلك الحصول على جميع الموافقات التنظيمية المطلوبة من الجهات المختصة.


Doha, February 26 (QNA) – Nebras Power (a Qatari public shareholding company) announced the successful conclusion of negotiations between Ras Laffan Operating Company, one of its wholly owned subsidiaries, to acquire the full stake of ENGIE SA in the share capital of both Qatar Power Company and Ras Girtas Power Company.


In a statement issued today, Nebras Power explained that the negotiations resulted in the parties agreeing to sign a Share Purchase Agreement between Ras Laffan Operating Company and International Power (Ras Laffan B) Limited, a wholly owned subsidiary of ENGIE SA. Under the agreement, Ras Laffan Operating Company will acquire International Power (Ras Laffan B) Limited’s 40 percent stake in the share capital of Qatar Power Company.


It was also agreed to sign a Share Purchase Agreement between Ras Laffan Operating Company and Kahrabel, a wholly owned subsidiary of ENGIE SA, for the sale of 50 percent of the total issued share capital of RLC Power Holding Limited, which represents 40 percent of the share capital of Ras Girtas Power Company.


This agreement will increase Nebras Power’s ownership stake from 55 percent to 95 percent in Qatar Power Company, and from 45 percent to 65 percent in Ras Girtas Power Company.


The statement noted that completion of the transaction is subject to the fulfillment of all conditions and procedures stipulated in the sale and purchase agreements and applicable laws, including obtaining all required regulatory approvals from the competent authorities.
